Welcome to Beyond Factoring LLC ("Beyond Factoring," "we," "us," or "our"). These Terms of Use ("Terms") are a legally binding agreement between you ("you" or "User") and Beyond Factoring governing your access to and use of the website located at https://www.beyondfactoring.com and any associated sub‑domains, content, functionality, products, and services (collectively, the "Site").

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR [Privacy Policy] (collectively, the "Agreement"). IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SITE.

1. Eligibility and Use of the Site

1.1 Eligibility. You must be at least 18 years of age and able to form a legally binding contract under applicable law to use the Site. By using the Site, you represent and warrant that you meet these eligibility requirements.

1.2 Business Users. If you access the Site on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" will refer to that entity.

1.3 Geographic Limitations. The Site is controlled and operated from the United States and is not intended to subject Beyond Factoring to the laws or jurisdiction of any state, country, or territory other than those of the United States. We make no representations that the Site is appropriate or available for use outside the United States.

2. Changes to Terms or Site

We may revise these Terms and/or modify, suspend, or discontinue all or part of the Site at any time in our sole discretion. If we make material changes, we will post the updated Terms on the Site and update the "Effective Date" above. Your continued use of the Site after the effective date of revised Terms constitutes your acceptance.

3. Description of Services; No Advice

3.1 Factoring and Related Services. Beyond Factoring provides invoice‑purchase (factoring) and related cash‑flow solutions, including freight bill factoring, quick‑pay, fuel‑card, equipment‑financing, and credit‑assessment programs (the "Services").

3.2 Informational Purpose Only. Content on the Site is for general informational purposes and does not constitute legal, tax, accounting, or financial advice. You should consult qualified professionals before making any decision based on Site content.

3.3 No Offer or Commitment. Nothing on the Site constitutes an offer, commitment, or guarantee to provide any Service. All Services are subject to completion of our onboarding process, execution of definitive agreements, and applicable credit approval.

4. User Accounts

4.1 Account Creation. Certain features may require you to create an account and provide accurate, current, and complete information. You agree to maintain the security of your credentials and promptly update any changes.

4.2 Responsibility. You are solely responsible for all activity under your account. Beyond Factoring is not liable for any loss or damage arising from unauthorized use of your account.

5. Acceptable Use and Prohibited Conduct

You agree that you will not, directly or indirectly:

Use the Site in any manner that violates applicable law or regulation;

Infringe, misappropriate, or violate Beyond Factoring’s or any third party’s intellectual‑property rights;

Upload, post, transmit, or otherwise make available any material that is unlawful, harmful, defamatory, obscene, or otherwise objectionable;

Introduce viruses, Trojan horses, worms, logic bombs, or other malicious code;

Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Site or any associated server, network, or database;

Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission;

Harvest or collect information about other Users without their consent;

Impersonate any person or entity, or misrepresent your affiliation.

6. Intellectual‑Property Rights

6.1 Ownership. The Site and all content, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, and documentation (collectively, "Content") are owned by Beyond Factoring or its licensors and are protected by U.S. and international intellectual‑property laws.

6.2 Limited License. Subject to your compliance with these Terms, Beyond Factoring grants you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Site for your internal business purposes. Beyond Factoring reserves all rights not expressly granted herein.

6.3 Trademarks. "Beyond Factoring" and all related names, logos, product and service names, designs, and slogans are trademarks of Beyond Factoring. You must not use such marks without our prior written consent.

6.4 Feedback. If you submit ideas, suggestions, or other feedback, you grant Beyond Factoring an unrestricted, perpetual, irrevocable, royalty‑free, worldwide license to use, reproduce, display, perform, modify, transmit, distribute, and create derivative works from such feedback.

7. Third‑Party Content and Links

The Site may contain links to third‑party websites or resources that are not owned or controlled by Beyond Factoring. We provide these links for convenience only and do not endorse or assume any responsibility for any third‑party site, information, products, or services. Your use of any third‑party site is at your own risk and subject to the terms and policies of that site.

8. Privacy

Your submission of information through the Site is governed by our Privacy Policy. By using the Site, you consent to the collection and use of your information as described therein.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND TITLE. BEYOND FACTORING DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR‑FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such jurisdictions, Beyond Factoring’s liability is limited to the greatest extent permitted by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BEYOND FACTORING, ITS AFFILIATES, OR THEIR RESPECTIVE OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE, CONTENT, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF BEYOND FACTORING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL BEYOND FACTORING’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US, IF ANY, FOR ACCESSING THE SITE DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability; accordingly, some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Beyond Factoring and its affiliates and their respective owners, directors, officers, employees, and agents from and against any claims, damages, liabilities, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your use of the Site.

12. Dispute Resolution; Governing Law

12.1 Governing Law. These Terms and any dispute arising hereunder will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict‑of‑law principles.

12.2 Binding Arbitration. Except for (a) claims that qualify for small‑claims court and (b) claims for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to the Site or these Terms will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules in effect at the time the arbitration is initiated. The arbitration will take place in Philadelphia, Pennsylvania, before a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

12.3 Class‑Action Waiver. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND BEYOND FACTORING EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

12.4 Time Limitation to File Claims. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice and in our sole discretion, for conduct that we believe violates these Terms or is harmful to other Users, us, or third parties. Upon termination, all rights granted to you under these Terms will immediately cease.

14. Export Compliance

You may not access, download, use, or export the Site or Content in violation of United States export laws or regulations. You agree to comply with all applicable export and re‑export control laws and regulations.

15. Electronic Communications and Signatures

You consent to receive communications from us electronically (e.g., via email, text message, or by posting notices on the Site). You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing. You consent to using electronic signatures, contracts, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed through the Site.

16. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any additional terms to which you agree in connection with specific products or services, constitute the entire agreement between you and Beyond Factoring regarding the Site and supersede all prior or contemporaneous understandings.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Waiver. No waiver by Beyond Factoring of any term or condition set forth in these Terms will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

Assignment. You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may freely assign our rights and obligations under these Terms.

Headings. Section headings are for convenience only and have no legal or contractual effect.
